Constitution of Fareham Men's Shed

An Unincorporated Association


The unincorporated association’s name is The Fareham Men's Shed

    To provide a workshop and social centre for members.
    To help members maintain their health and well being, make new friends and enjoy working together on a range of projects.
    To assist the local community in practical ways whenever possible

    The association will be managed by a committee who are appointed at the Annual General Meeting (AGM) of the association

    In order to carry out the stated purposes, the committee have the power to:
    • Raise funds, receive grants and donations.
    • Apply funds to carry out the work of the association.
    • Co-operate with and support other associations with similar purposes.
    • Do anything which is lawful and necessary to achieve the purposes.

    The association shall have a membership. People who support the work of the association and are aged 55 or over, can apply to the committee to become a member. Once accepted by the committee, membership lasts until the end of the current year and then may be renewed. The committee will keep an up-to-date membership list.
    The committee may remove a person’s membership if they believe it is in the best interests of the association. The member has the right to be heard by the committee before the decision is made and can be accompanied by a friend.

    The AGM must be held every February, with at least 14 days’ notice given to all members telling them what is on the agenda. Minutes must be kept of the AGM.
    • There must be at least one quarter of the membership or minimum of 10 members present at the AGM.
    • Every member has one vote.
    • The committee shall present the annual report and accounts.
    • Any member may stand for election to the committee.
    Members shall elect between 6 and 15 candidates to serve for the next year. They will retire at the next AGM but may stand for re-election. A member may not hold any one position on the committee for more than 3 consecutive years.

    • The committee must hold at least 3 meetings each year. The committee may act by majority decision.
    • At least 50% of committee members must be present at the meeting to be able to take decisions.
    • Minutes will be kept of every meeting.
    • If a committee member has a conflict of interest they must declare it and leave the meeting while the matter is being discussed and decided.
    • During the year the committee may appoint additional members to the committee. They will stand down at the next AGM.
    • The committee may make reasonable additional rules to help run the association. These rules must not conflict with this constitution or the law

    Money and property must only be used for the association’s purposes. The committee must keep accounts. The most recent annual accounts can be seen by anybody on request.
    • Committee members cannot receive any money or property from the association, except to refund reasonable out of pocket expenses.
    • Money must be held in the association’s bank account. All cheques must be signed by two committee members.

    If the committee consider it necessary to change the constitution, or wind up the association, they must call a General Meeting so that the membership can make the decision. The committee must also call a General Meeting if they receive a written request from the majority of members. All members must be given 14 days’ notice and told the reason for the meeting. All decisions require a two thirds majority of those members present. Minutes must be kept.
    • Ten members, including members of the committee shall form a quorum.
    • Winding up, any money or property remaining after payment of debts must be given to an association with similar purposes to this one.
    • Changes to the Constitution – can be made at AGM's or General Meetings.
    • General Meetings may be called on written request from a majority of members; The committee may also call a General Meeting to consult membership.

    This constitution was adopted on 16th August 2016 by the people whose names appear below. They are the first members of the association and will be the trustees until the AGM which must be held within one year of this date.
